The UHS Corporate Legal Department is hiring a Paralegal to assist the Senior Corporate Paralegal in providing professional support for various legal and corporate matters for Universal Health Services, Inc. and its other affiliated subsidiaries.
Key Responsibilities include:
Assist with acquisitions, transactions and facility corporate service reconfigurations, including but not limited to drafting of ancillary deal documents (e.g. bills of sale, powers of attorney, etc.)
Prepare all annual written consents and resolutions for UHS and its subsidiaries and assist in preparing and filing annual reports for those entities in all states in which UHS and its subsidiaries are qualified to do business
Prepare incorporation, dissolution, merger, qualification and fictitious name documents and other organizational documents
Prepare, organize and maintain corporate governance documents such as resolutions, minutes, consents, etc. for UHS, all of its subsidiaries and joint ventures
Serve as liaison with outside counsel on various projects
Maintain and update CSC database and organize files, maintain internal corporate listings
Associates degree preferred with 3 - 5 years' experience as a corporate paralegal.
Knowledge of corporate formation, governance and M&A transactions
Proficiency in Excel, Word, CSC, NetDocuments and ability to learn other web-based programs and databases
Strong ability to work independently and work well with others
Excellent communication, organizational, and multi-tasking skills
Paralegal Certification is preferred but not required
